Contracts and terms

A good contract is one that keeps you out of court. I draft it to fit your needs or review the one the other side sent you – for businesses and individuals, in Czech, English and German.

Typical situations

You are launching an e-shop with terms downloaded from the internet.

Templates often don’t match how you actually sell, or current consumer protection rules. I draft terms that fit your business.

A customer sent you their 30-page framework agreement.

I review it, flag the risks – liability, penalties, payment terms, termination – and propose the changes worth negotiating.

You are lending a larger sum to an acquaintance.

A loan agreement with clear instalments and, where appropriate, security – so you can recover the money if the worst happens.

A German partner sent you a contract in German.

I go through it with you in German or English and propose that it be governed by Czech law with Czech courts having jurisdiction. If German law cannot be avoided, I bring in a trusted colleague from Germany.

How I work

From brief to signature
  1. 1 Brief We discuss what the contract should cover, who the other party is and where you see risks.
  2. 2 Draft or review I prepare a draft or return your contract with comments and tracked changes.
  3. 3 Negotiation I put the comments to the other side and, if needed, attend the negotiations.
  4. 4 Signature Final version for signing – on paper or electronically.

Fees

Contracts vary in scope, so the fee depends on the brief. You always know it upfront.

Hourly rate I bill the time actually worked. Upfront, I give you an estimate of how much work the matter will take.
Fixed fee For clearly defined work – such as terms and conditions or a standard contract. The amount does not change.
Fee cap Hourly billing with an upper limit that I will not exceed without your consent.

I confirm the model and amount once we have reviewed the matter. Larger contract work and long-term cooperation can also be covered by a monthly retainer.

FAQ

Isn’t a template from the internet enough?

A template doesn’t know your case. Liability, penalties or termination are typically missing – and that only shows once a dispute arises.

Does a contract have to be in writing?

Under Czech law most contracts can be made orally, but written form makes it easier to prove what was agreed. Some contracts require written form by law – for example a transfer of real estate (Section 560 of the Czech Civil Code).

Can you draft contracts in English or German?

Yes, including bilingual versions – under Czech law. I also review contracts your foreign partner sends in their language; where foreign law needs to be assessed, I work with trusted colleagues in Germany and Austria.

Can a contract be signed electronically?

For most contracts, yes. Where the law requires a special form, I advise on the type of signature needed.

How long does it take?

We agree the deadline upfront, based on the scope and urgency of the matter.

Need a contract drafted or reviewed?

Send me the draft or describe what the contract should cover. The first 15 minutes of a consultation are free; I usually reply to e-mails within 48 hours on working days.
